Legal Evolution of Corporate Governance in South Africa: Legislative Reform, Judicial Accountability, and the Transition from King IV to King V

South Africa's corporate governance framework has undergone substantial legal transformation in response to systemic governance failures exposed by the State Capture Commission. This study examines the Companies Amendment Acts of 2024, recent judicial developments regarding director delinquency, and the transition from King IV to King V through doctrinal legal analysis of primary legislation, case law, and regulatory guidance. The research investigates how legislative amendments address deficiencies in director accountability, remuneration transparency, and beneficial ownership disclosure. The findings reveal that the Companies Amendment Act 16 of 2024 and Companies Second Amendment Act 17 of 2024 introduce significant reforms, including binding shareholder votes on executive remuneration with a two-strike rule, extended limitation periods for director delinquency proceedings, and enhanced disclosure requirements for beneficial ownership. Judicial interpretation in Organisation Undoing Tax Abuse v Myeni (2020) and Smuts v Kromelboog Conservation Services (2024) has established stringent standards for director conduct, with courts increasingly willing to declare directors delinquent for gross negligence and breach of fiduciary duties. The King V Report, effective January 2026, refines governance principles from 17 to 13, introduces standardized disclosure frameworks, and aligns with recent legislative reforms. The study concludes that while legislative and soft law reforms strengthen the corporate governance architecture, effective implementation requires enhanced enforcement capacity at the Companies and Intellectual Property Commission and greater alignment between voluntary King V principles and statutory requirements. This research contributes to applied business scholarship by providing practitioners with actionable insights regarding compliance obligations and governance risk management in the evolving regulatory landscape.
